                    SOCO International plc (the 'Company')

                            Directors Shareholding


The Company was notified on 20 December 2001, pursuant to section 3.242(a) of
the Companies Act 1985, that on that date warrants to subscribe ('Warrants')
for 93,296, 163,268 and 2,592 ordinary shares of £0.20 each in the share
capital of the Company ('Shares') for a price of £0.65, £0.60 and £0.55,
respectively, previously held by Mantegna Consultadoria E Servicos Limitada,
('Mantegna') of which Mr Rui de Sousa owns 100% of the issued share capital,
were transferred to Aurorium Limited for nil consideration.


Subsequent to the transfer Mr de Sousa's interest comprises 2,357,478 Shares
and 162,607 Warrants at a price of £0.55 each held by Quantic Limited, of
which Mr de Sousa owns 50% of the share capital; 589,619 Shares and 40,652
Warrants at a price of £0.55 each held by New Falcon Oil Limited, of which Mr
de Sousa owns 100% of the issued share capital; and 528,678, 925,187 and
14,685 Warrants at a price of £0.65, £0.60 and £0.55 respectively held by
Mantegna.
