NOTIFICATION OF TRANSACTION OF DIRECTOR AND PERSON DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMR")

Phoenix Group Holdings plc has been notified that Rakesh Thakrar, Group Chief Financial Officer and PDMR, purchased 3,566 ordinary shares of £0.10 each in the Company. Full details of the share purchase are set out below.

In addition, he exercised his nil-cost options over ordinary shares of £0.10 each in the Company under the DBSS on 27 March 2023.

Vesting of these options was subject to a three-year holding period in respect of the deferred bonus for the 2019 financial year to 31 December 2022.  The options become exercisable for up to six- months with effect from 13 March 2023.
