In  accordance  with FSA's Disclosure & Transparency Rules, the Company advises that, following the  purchase  and
cancellation  of  25,000  shares during February 2007, its issued share capital now comprises  9,770,504  ordinary
shares of 10p each. The voting rights of all of these shares are identical.

The  above figure may be used by shareholders as the denominator for the calculations by which they will determine
if  they  are  required to notify their interest in, or a change to their interest in, PHSC plc  under  the  FSA's
