The announcement is intended to satisfy obligations both under section 324 as extended by section 328 of the Companies Act 1985 and the Disclosure and Transparency Rules 3.1.4R(1). The vesting of the matching awards and performance awards under the LTIP is subject to the satisfaction of performance conditions based on growth in earnings per share and total shareholder return over a three year period, details of which were set out in a circular to shareholders dated 27 March 2006.
