                            Exceptional Gain in 2005

Pendragon PLC the UK's largest motor distributor has been advised that having
gone through an appeal process, a planning consent has been resolved in favour
of Pendragon. This will mean that upon disposal of this property Pendragon will
realise a significant exceptional gain. This will be realised during 2005.
