On 22 January 2001 Prudential plc notified the Board of Pendragon that following
the disposal on 19 January 2001 of 25,000 shares, its total notifiable interest
in the ordinary shares of Pendragon has decreased to 3,025,000 shares,
representing 4.96% of the total issued share capital of Pendragon.
