In line with the statement made in the Preliminary Results for 2002 regarding 
the utilisation of net profits from property disposals to repurchase the 
company's shares, Pendragon PLC has on 20 March 2003, purchased five hundred and
forty - one thousand and three hundred and four of its ordinary shares at a 
price of 288.5 pence per share.

Following the re-purchase and cancellation of these shares, the issued share
capital of the Company is 54,313,614 Shares.
