In line with the statement made in the Annual Report 2002 regarding the
utilisation of profits from property disposals to repurchase the company's
shares, Pendragon PLC has on 26 March 2003, purchased 715,642 (seven hundred and
fifteen thousand and six hundred and forty two) of its ordinary shares at a
price of 312.00 pence per share.

Following the purchase and cancellation of these shares, the issued share
capital of the Company is 52,358,477 Shares.
