Pendragon has on 23 April 2003, purchased 177,000 (one hundred and seventy seven
thousand) of its ordinary shares at a price of 328 pence per share.

Following the purchase and cancellation of these shares, the issued share
capital of the Company is 52,096,019 Shares.
