                      First Distribution Agreement in China
                                        
Plant Health Care is pleased to announce its entry into the rapidly expanding
Chinese market, with a distributor agreement with Beijing Plant Health Care Inc.

Beijing PHC will purchase goods manufactured by PHC for distribution and sale to
distributors and end users for use in landscaping, arboriculture, nursery,
floriculture and sports turf within China's 'green industry'. Initially the
products will be available within 11 Chinese provinces, covering the area
between Beijing and Shanghai. The venture will begin as a 5 year renewable
agreement.

Activity in China has reinforced the viability of this partnership with Beijing
PHC. China has announced a 'Total Commitment' to improve its Environmental and
Beautification Programme announcing recently to spend US$61 billion on all major
cities and projects in China.

Plant Health Care USA believes this China Business is the launch pad for
increased business for PHC given China's commitment to the environment and the
beautification of its country.
