In conformity with the Transparency Directive's transitional provisions, we
would like to notify the market that the issued share capital of Plaza Centers
N.V. consists of 292,346,087 ordinary shares of £0.01 each, with voting rights.
There are no ordinary shares held in treasury.

The above figure of 292,346,087 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Plaza Centers N.V. under
