Plus500, a leading online service provider for trading Contracts for Difference internationally, announces that it has granted 116,045 restricted share units ("RSUs") over ordinary shares of NIS0.01 of the Company ("Ordinary Shares") to directors and employees of the Company or its subsidiaries in respect of such persons' remuneration packages for the 2020 financial year.

In January 2020, the Company decided to grant LTIP awards for certain executive officers and employees of the Company.

The Board has decided to substitute certain of the grants approved in January 2020 with a RSU scheme, given it is more beneficial for Israeli tax law purposes (all relevant directors and employees being granted these RSUs are based in Israel). The RSUs are granted on the basis of the original approved LTIP grants at a price of 886 pence per share and the same vesting schedule apply.

Unlike LTIPs, where the allotment of shares is at the end of the vesting period, for the RSU scheme shares are registered through a Trustee and are allotted on the date of the award agreement. Details of these awards are below.

The RSUs were granted following their approval by the Remuneration Committee (to the extent required by law), Board of Directors, and, with respect to the Company's Chief Executive Officer, Mr. David Zruia, by the shareholders of the Company at the 2020 Annual General Meeting held on 16 September 2020 ("AGM"). Further information regarding the grant to Mr. Zruia is set out in the Notice of AGM dated 11 August 2020.

Each RSU represents an unfunded, unsecured right to receive, on the applicable settlement date, one Ordinary Share of the Company (subject to certain performance goals and to the terms of the Company's 2020 Equity Incentive Plan).

Each RSU will vest on 31 December 2022 and the resulting Ordinary Shares will be subject to a further two year holding restriction ending on 31 December 2024.
