Notice of EGM
Plus500, a leading online service provider for trading Contracts for Difference ("CFDs") internationally, announces that following its announcement of 16 January 2020 regarding its Extraordinary General Meeting to be held at 4.30pm on 20 February 2020 ("EGM"), for the purpose of approving the remuneration arrangements for its executive directors for the year ending 31 December 2020 as the Company is required to do under Israeli Law, the Company hereby advises that an updated Notice of EGM is available for review at https://www.plus500.co.uk/Investors/CompanyAnnouncements, reflecting changes to the proposed remuneration arrangements for the executive directors following consultation with shareholder bodies.
The EGM will be held at the offices of MHP Communications, 6 Agar Street, London, WC2N 4HN. There is no change to the date of the EGM, the record date of shareholders entitled to vote at the EGM or the deadline for submission of a Form of Proxy and Form of Direction, as applicable, as set forth in the notes to the Notice of EGM.
An updated Form of Proxy and an updated Form of Direction are also available at https://www.plus500.co.uk/Investors/CompanyAnnouncements. Shareholders and Depositary Interests holders ("DI Holders") may vote either by printing the updated Form of Proxy or updated Form of Direction, as applicable, or by submitting the original Form of Proxy or Form of Direction received. Shareholders and DI holders that submitted a Form of Proxy or Form of Direction, as applicable, prior to the date hereof may replace their prior vote or elect not to change their vote and not take any further action, in which case the original Form of Proxy or Form of Direction submitted shall be counted for purposes of their vote.
To be valid, any Form of Proxy or other instrument appointing a proxy and any power of attorney or other authority under which it is signed, or a notarially certified or office copy of such power or authority, must be received by post or (during normal business hours only) by hand at (i) Link Market Services Limited, Proxies, The Registry, 34 Beckenham Road, Beckenham, Kent BR3 4TU or (ii) Plus500, Investor Relations, Matam, Building 25, Haifa 3190500, Israel (or by email to ir@plus500.com), by no later than 4.30 p.m. on 17 February 2020.
In the case of DI holders, a Form of Direction must be completed in order to appoint the Depository whose registered office is at The Registry, 34 Beckenham Road, Beckenham, Kent, BR3 4TU to vote on the holder's behalf at the meeting. To be effective, a completed and signed Form of Direction must be deposited at Link Market Services Limited no later than 4.30 p.m. on 14 February 2020.
In compliance with LR 9.6.1, the Updated Notice of EGM has been submitted to the National Storage Mechanism as submission to the Financial Conduct Authority and will shortly be available for inspection at: www.morningstar.co.uk/UK/NSM.
