Results of the General Meeting

The Company is pleased to announce that at a General Meeting held today, the resolution put to Shareholders, to disapply pre-emption rights in respect of the ordinary shares in treasury (circa 70,375,000 ) was passed by the requisite majority.

The number of shares held in treasury at the time of the meeting and over which pre-emption rights have been disapplied is 68,100,000. Unless expired earlier, in accordance with the terms of the resolution, such authority shall expire at the end of the Annual General Meeting to be held in 2022.

The following table indicates the number of proxy votes lodged in advance of the meeting for the resolution. It should be noted that votes withheld do not constitute votes in law. The number of ordinary shares in issue at the date of the General Meeting was 202,775,000 and the number of total voting rights was 134,675,000.
