Publication of Circular & Notice of General Meeting

The Board of Polar Capital Holdings plc (the "Company") has identified a procedural oversight in respect of the payment of certain dividends by the Company (the "Relevant Distributions") which has resulted in a technical failure to comply with the procedural requirements of the UK Companies Act.

Whilst the Company has always had sufficient reserves to pay the Relevant Distributions at the time that they were made, the UK Companies Act required this to be demonstrated by reference to interim accounts filed at Companies House which regrettably the Company failed to do.

The Board has been advised that the Company's past accounts will not need to be restated and none of the Relevant Distributions are expected to be repaid. There is no change to the financial outlook of the Company as a consequence of this technical matter however, in line with the actions taken by other listed companies that have encountered similar issues in the past, the Company proposes to call a General Meeting.

To that end the Company will today publish and post to shareholders a Notice of Meeting (the "Notice") together with a related explanatory circular (the "Circular") convening a General Meeting at which a Resolution will be proposed which will, if passed, address the situation and put all parties, so far as possible, in the position in which they were always intended to be had the full procedural requirements of the UK Companies Act been complied with at the time the Relevant Distributions were made. 

The Notice, which is contained in the Circular, convenes the General Meeting of the Company for 31 May 2017 at 11.00 am at the offices of the Company, 16 Palace Street, London SW1E 5JD.

The Circular is available to view on the Company's website www.polarcapital.co.uk and available for inspection at the offices of the Company.
