POSTING OF CIRCULAR AND NOTICE OF GENERAL MEETING TO APPROVE THE PROPOSED DISPOSAL OF THE MEAT-FREE BUSINESS
Further to the announcement made on 24 January 2011, Premier Foods announces that a circular (the "Circular") relating to the proposed disposal of its Meat-free business, which manufactures and sells products under the Quorn and Cauldron brands, has been posted to shareholders.
The Circular contains a notice of a general meeting (the "Meeting") of Premier Foods to consider and, if thought fit, to approve a resolution authorising Premier Foods to dispose of the Meat-free Business to Exponent Private Equity LLP. This disposal is also conditional upon the receipt of all consents required from lenders under the finance facilities of Premier Foods (which were received on 11 February 2011). If all conditions are satisfied, the disposal is expected to complete in early March 2011.
The Meeting will be held at the London Hilton on Park Lane, 22 Park Lane, London W1K 1BE on Thursday 3 March 2011 at 9.00 a.m.
The Circular is available on Premier Foods' website at www.premierfoods.co.uk. Copies of the Circular are, and will remain, available for inspection at the registered office of Premier Foods at Premier House, Centrium Business Park, Griffiths Way, St Albans, Hertfordshire AL1 2RE and at the offices of Slaughter and May, One Bunhill Row, London EC1Y 8YY during normal business hours on any business day with effect from today and up to and including the conclusion of the Meeting.
