RESPONSIBILITIES (PDMR)


The Company announces that on 7 December 2007 Sharon Hintze, a non-executive
director of the Company, acquired 16,000 Premier Foods plc ordinary shares of 1
pence each ('Shares'), 3,000 at a price of 1.8725 per Share, 9,596 at a price of
1.873282 per Share and 3,404 at a price of 1.875 per Share.

Following the purchase Miss Hintze's total holding is 16,000 Shares.
