NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND OTHER PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
We wish to notify the following, in accordance with DTR 3.1.4(1)(a) of the Disclosure Rules and Transparency Rules.
The Company has granted matching awards in the form of conditional awards of shares in respect of the number of ordinary shares of 1p each in the Company as set out in column (2) in the table below to the directors and other PDMRs set out in column (1) in that table under the Company's Co-Investment Plan ('CIP'). The granting of these awards was delayed by the Remuneration Committee of the Company in light of the Placing and Open Offer and Firm Placing completed earlier in the year. The matching awards were granted on 9 June 2009 to participants who have pledged shares under the terms of the CIP. No other consideration was payable for the grant of a matching award.
The vesting of the matching awards is ordinarily subject to the holding of the relevant investment shares by the participant, the continued employment of the participant and the satisfaction of performance conditions based upon a combination of Earnings per Share growth and Total Shareholder Return as measured over a three-year period.
