NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND OTHER PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES

We wish to notify the following, in accordance with DTR 3.1.4(1)(a) of the Disclosure Rules and Transparency Rules.

The Company has granted matching awards in the form of conditional awards of shares in respect of the number of ordinary shares of 1p each in the Company as set out in column (2) in the table below to the directors and other PDMRs set out in column (1) in that table under the Company's Co-Investment Plan ("CIP"). The matching awards were granted on 30 March 2010 to participants who have pledged shares under the terms of the CIP.  No other consideration was payable for the grant of a matching award.

The vesting of the matching awards is ordinarily subject to the holding of the relevant investment shares by the participant, the continued employment of the participant and the satisfaction of performance conditions based upon a combination of Earnings per Share growth and Total Shareholder Return as measured over a three-year period.
