NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND OTHER PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES
This notification is made in accordance with DR 3.1.4R(1)(a).
On 23rd May 2011 (the "Grant Date") the following directors of the Company and other persons discharging managerial responsibility were granted the following awards under the Premier Foods Long Term Incentive Plan (the "Plan"):

Matching Share Awards are structured as nil-cost options ("Options") to acquire ordinary shares of £0.01 each in the capital of the Company for nil consideration as set out below.

Matching Share Awards were granted on the condition that prior to the Grant Date an eligible employee agreed to commit an existing holding of, or interest in, ordinary shares in the Company as Investment Shares under the Plan up until the date of vesting of the Matching Share Award.
The Options will normally be exercisable between the third anniversary of the Grant Date and the day before the fifth anniversary of the Grant Date subject to continued employment, retention of the linked Investment Shares in the Company and the achievement of a share price based performance target.

Performance Share Awards are structured as Options to acquire ordinary shares of £0.01 each in the capital of the Company for nil consideration as set out below.

The Options will normally be exercisable between the third anniversary of the Grant Date and the day before the fifth anniversary of the Grant Date subject to continued employment and the achievement of an earnings per share based performance target.
