NOTIFICATION OF TRANSACTIONS OF DIRECTORS AND PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITIES



We wish to notify the following, in accordance with Rules 3.1.4(1)(a) and 3.1.4

(1)(b) of the Disclosure Rules.



The Company was today informed that following adjustments made in accordance
with the Rules of the Premier Foods plc Long-Term Incentive Plan ('LTIP'), The
Premier Foods plc Executive Share Option Scheme ('ESOS') and The Premier Foods
plc Sharesave Plan ('SAYE'), the number of ordinary shares of 1 pence each in
the Company ('Shares') subject to awards under the LTIP and the number of Shares
subject to options and the exercise price of those options under the ESOS and
SAYE held by the directors / persons discharging managerial responsibilities
referred to in the table below were adjusted on 14 December 2006 to reflect the
rights issue announced on 14 August 2006.



Following these adjustments, the total number of Shares over which the directors
/ persons discharging managerial responsibilities concerned hold awards /
options under the LTIP, ESOS and SAYE is set out in column (4) and (where
applicable) the adjusted exercise price is set out in column (3) of the table
below.
