Board Appointment

Premier Foods today announces that Charles Miller Smith will join the Premier Foods board as a non-executive director with immediate effect.

Under the terms of the placing and open offer announced on 5 March 2009, Warburg Pincus, the global private equity firm, has the right to nominate a director to the board of Premier Foods.

Mr. Miller Smith is Senior Advisor to Warburg Pincus International LLC as well as Chairman of the Advisory Board of Scottish Power plc. He has recently worked as an International Adviser at Goldman Sachs and a director of HSBC Holdings PLC.  

Much of his career was with Unilever, where he spent nearly 30 years, culminating in his appointment as Director of Finance and a Director of Unilever Foods. He was appointed Chief Executive of ICI in 1995 and then served as Chairman from 1999 to 2001. 

Mr. Miller Smith currently serves as a Member of the Board of Firstsource. 

Commenting on the appointment, David Kappler, Chairman of Premier Foods said:

'We are delighted to welcome Charles to the board. He brings a wealth of experience in both the consumer goods and financial markets which will enable him to make a valuable contribution to the board and support the achievement of the Company's strategic goals.' 

Mr. Miller Smith currently owns 680,272 shares in Premier Foods.
