   Premier Foods plc ('Premier') announces that it has sold its Fresh Produce
               division, MBM Produce Ltd. ('MBMG') to management.


Further to the announcement made at its preliminary results on 6 March 2007,
Premier announces that it has completed the sale of its Fresh Produce division,
MBM Produce Ltd. ('MBMG') to Abbanoy Produce Holdings Ltd., a company controlled
by MBMG's Managing Director Pepe Bascetta.  Based in March, Norfolk, MBMG
supplies potatoes and other fresh produce to industrial and foodservice
customers, as well as to multiple retailers.  The book value of the gross assets
and net assets being sold were £47 million and £23 million, respectively, at 31
December 2006.
