                         Disposal of Erin Foods Limited


Premier Foods plc ('Premier') announces that it agreed the sale of Erin Foods
Limited to Maiden Acquisition Company. This disposal satisfies the undertaking
given by Premier to The Competition Authority in the Republic of Ireland to
dispose of the Erin brand.  As permitted by The Competition Authority, Premier
has obtained a licence to use the Erin brand on soup products.

The book value of the gross assets of Erin Foods Limited was €2.5 million at 30
July 2006.
