Disclosure of Interest in Share Capital

On 28 October 2004 the Company received notification by Merrill Lynch & Co Inc.
('MLCI') that, as at 22 October 2004, Merrill Lynch Investment Managers Ltd and/
or its subsidiaries ('MLIM') had a notifiable interest of 23,851,502 ordinary 1p
shares in the Company representing 9.74% of the issued share capital of the
Company.

MLCI, which is also a holding company of MLIM, is interested in the above
ordinary shares and an additional 3,742,997 ordinary 1p shares following the
purchase of 1,705,469 ordinary 1p shares. Accordingly, MLCI is interested in
27,594,499 ordinary 1p shares representing 11.25% of the issued share capital of
the Company.
