On 8th January 2007 the Company received notification from Lazard Asset
Management Limited of 50 Stratton Street, London, W1J 8LL that Lazard Asset
Management LLC Group, as at 27th December 2006, is interested in 17,009,410
shares in Premier Foods plc.  Shares held in portfolios managed by Lazard Asset
Management Limited on a discretionary basis for clients or Lazard Funds and
representing approximately 3.431% of the issued share capital.
