Total Voting Rights and Capital

In accordance with DTR 5.6.1 of the FCA's Disclosure and Transparency Rules, Premier Foods plc (the 'Company') advises that 2,520,236 additional ordinary shares of 10p each with voting rights were issued in September 2020. These comprise 2,500,000 shares allotted to the Company's Employee Benefit Trust, to be used to satisfy awards vesting under the Company's executive incentive schemes, and 20,236 in relation to the exercise of share options under the Company's Sharesave Scheme.

As at 30 September 2020 the Company's issued share capital consisted of 852,384,147 ordinary shares of 10p each with voting rights. This figure   may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
