Statement re Scrip Dividend

                 Primary Health Properties plc (the "Company")


On 21 November 2002, at the Company's extraordinary general meeting, the
directors of the Company ("Directors") were granted authority to offer new
ordinary shares of 50p each ("New Ordinary Shares") instead of cash in respect
of dividends (the "Scrip Dividend Alternative"). On 16 September 2003 the
Directors recommended a final dividend be declared for the year ended 30 June
2003 of 5p per Ordinary Share (the "Final Dividend") at the Annual General
Meeting to be held on 20 November 2003..

A circular will be posted to shareholders on 6 October 2003 in respect of the
Scrip Dividend Alternative (the "Circular") together with a form of election,
entitlement advice and the Company's Annual Report. The Circular will offer
shareholders on the register of members on 26 September 2003 the opportunity to
elect to receive New Ordinary Shares instead of cash in respect of the Final
Dividend.
