Primary Health Properties plc (the "Company")
On 21 November 2002, at the Company's extraordinary general meeting, the
directors of the Company ("Directors") were granted authority to offer new
ordinary shares of 50p each ("New Ordinary Shares") instead of cash in respect
of dividends (the "Scrip Dividend Alternative"). On 12 March 2004 the Directors
announced an interim dividend for the year ending 30 June 2004 of 5.5p per
Ordinary Share (the "Interim Dividend").
A circular dated 6 April 2004 will be posted to shareholders in respect of the
Scrip Dividend Alternative (the "Circular") together with a form of election and
notice of entitlement and the Company's Interim Report. The Circular will offer
shareholders on the register of members on 26 March 2004 the opportunity to
elect to receive New Ordinary Shares instead of cash in respect of the Interim
Dividend.

Latest date for receipt of forms of election 6 May
