Statement re scrip dividend

            PRIMARY HEALTH PROPERTIES PLC (the "Company")





On 21 November 2002, at the Extraordinary General Meeting, the Directors of the
Company ("Directors") were granted authority to offer new ordinary shares
instead of cash in respect of dividends (the "Scrip Dividend Alternative").   On
22 September 2005 the Directors recommended the declaration of the final
dividend for the year ended 30 June 2005 of 6p per Ordinary Share (the "Final
Dividend").



A Circular dated 5 October 2005 will be posted to shareholders today (7 October)
in respect of the Scrip Dividend Alternative (the "Circular") together with a
form of election and notice of entitlement and the Company's Annual Report.  The
Circular will offer the shareholders on the register of members on 30 September
2005 the opportunity to elect to receive new ordinary shares instead of cash in
respect of the Final Dividend.
