Statement re scrip dividend

                 PRIMARY HEALTH PROPERTIES PLC (the "Company")


On 21 November 2002, at the Extraordinary General Meeting, the Directors of the
Company ("Directors") were granted authority to offer new ordinary shares
instead of cash in respect of dividends (the "Scrip Dividend Alternative").  On
9 March 2005 the Directors announced an interim dividend for the year ending 30
June 2005 of 6p per Ordinary Share (the "Interim Dividend").


A Circular dated 8 April 2005  will be posted to shareholders in respect of the
Scrip Dividend Alternative (the "Circular") together with a form of election and
notice of entitlement and the Company's Interim Report.  The Circular will offer
the shareholders on the register of members on 18 March 2005 the opportunity to
elect to receive new ordinary shares instead of cash in respect of the final
dividend.
