Announcement of Offer Price

Following its announcements on 1 November 2021 of the offer price range and publication of the Prospectus in connection with its initial public offering (the "IPO" or the "Offer"), ProCook today announces the successful pricing of the Offer at 145p per Share (the "Offer Price").

Based on the Offer Price, the market capitalisation of the Company will be approximately £158 million at the commencement of conditional dealings on the main market for listed securities of the London Stock Exchange.

Offer highlights

· The Offer Price has been set at  145p  per Share.  

· ProCook's market capitalisation at Admission will be approximately £158 million based on the Offer Price.

· The Offer comprises the sale of 27,400,000 Shares by the Company's existing shareholders. This equates to a total Offer size of approximately £39.7 million and represents approximately 25% of the Company's issued share capital on Admission.

· Immediately following Admission, the Company's issued share capital will be 108,956,624 Shares.

 

Admission and Dealings

· Conditional dealings in the Shares are expected to commence on the London Stock Exchange at 8:00 a.m. on 10 November 2021 under the ticker "PROC" (ISIN: GB00BNRR8331).

· Admission of the Shares to the premium listing segment of the Official List and to trading on the main market for listed securities of the London Stock Exchange, and the commencement of unconditional dealings in the Shares on the London Stock Exchange, is expected to take place at 8:00 a.m. on 12 November 2021.

· It is expected that, subject to Admission and other conditions being met, the Company will in due course be considered eligible for inclusion in the FTSE United Kingdom indices.

· The pricing statement related to the Offer will be published later today on the Company's website at www.procookgroup.co.uk.
