Premier Management Holdings plc (the 'Company')

Completion of Convertible Bond settlement

The Company is pleased to announce that the agreement to settle the Convertible
Bond has now been completed. As previously referred to in the Company's
announcement of interim results for the six months ended 31 October 2003,
trading during the January 2004 window was better than in the previous year and
surpassed the Directors' expectations. This improved trend has continued into
the newly started financial year as trading during the first two months is also
above budget. The Directors consider that this settlement will place the Company
in an enhanced position going forward to take advantage of improvements in
trading conditions.
