PREMIER MANAGEMENT HOLDINGS PLC (the 'Company')
Expansion of European network
Introduction
The Company is pleased to announce the strengthening of its European network
with the opening of an office in Turkey and the expansion of its operations in
Hungary. The two transactions substantially widen the scope of the Company's
European operations at little cost and are consistent with the Company's
strategy of securing quality representation in growing markets.
Turkey
In Turkey an agreement has been entered with Ali Egesel, a Player's Agent
licensed by the Turkish Football Federation and with Ogan Tarhan formerly with
the Turkish Football Federation, and a leading Football TV broadcaster and
journalist. Messrs Egesel and Tarhan are incorporating a new company in Turkey,
which will be called Premier Management Turkey ('PMT'), through which to carry
out the new venture and which will immediately benefit from representing several
major players already contracted to Mr. Egesel.
Following Turkey's strong performance in the last World Cup, and the impressive
performances of its leading clubs in European competitions in recent years, the
Company considers that the pool of talent now available in Turkey provides good
opportunities for the future. The Company is confident that Messrs Egesel and
Tarhan, who will be responsible for the day-to-day management of the new Turkish
operation, are well positioned and of such quality to maximise this opportunity.
Under the terms of the agreement the Company will fund half the costs of the
operation and share in its profits. The Company will retain an option to
acquire a 50 per cent. interest in PMT for a nominal sum, which is exercisable
at any time in the future. This structure has been devised to ensure maximum
flexibility for the Company whilst the Turkish operation develops.
Hungary
In Hungary, Premier Management Hungary ('PMH') will acquire the business of
Asher Hershkovitz, a Football Agent licensed by the Israel Football Association,
who works in Hungary and Israel and who has been acting as a consultant to PMH
since it was founded. The Company has worked with Mr Hershkovitz for a number
of years and he was instrumental in the establishment of PMH. He will now be
working full time for PMH and will assume primary responsibility for its
day-to-day management.
The acquisition will increase the scale of PMH's operations in Hungary, where a
solid core group of quality players are already under contract.
PMH will pay a deferred consideration of £175,000 for Mr Herskovitz's business,
provided it makes a pre-tax profit of more than £50,000 for the period ended 31
October 2002. The consideration is payable in cash, shares or other valuable
consideration at the sole discretion of the Company.
