Issue of Equity

ProVen VCT plc announces that on 5 April 2007 2,363,384 'C' Shares of 25p each
were issued and allotted at a price of 100 pence per share under the Offers for
Subscription made by the Company dated 14 November 2006.


Application for the new shares to be admitted to the Official List of the UK
Listing Authority and to trading on the London Stock Exchange's market for
listed securities will be made at the earliest practical opportunity.


Following this allotment on 5 April 2007 the Offer for Subscription for the tax
year ended 2006/2007 was closed.
