Provisional Results of "C" Share Tender Offer

ProVen VCT plc ("the Company") announces the provisional results of the Tender Offer dated 26 June 2012. Applications to tender 1,198,996 "C" Shares were received by the closing time of 1:00pm on 3 August 2012. Subject to the passing of a special resolution to be proposed at the Annual General Meeting and Class Meetings of the Company to be held 21 August 2012, the Company will acquire all of these "C" Shares at a price of 87.4p per share.

"C" Shareholders who participated in the Tender Offer will receive confirmation of the number of "C" Shares for which their tender was accepted, the cash proceeds from the Tender Offer, a new share certificate in respect of the balance of "C" Shares and, if applicable, a new share certificate in respect of new Ordinary Shares allotted in respect of Tender Offer proceeds they have elected to reinvest in accordance with the expected timetable in the Tender Offer circular.
