Replacement - Issue of Equity

The  announcement released by  the Company at  10:08 am on 8 April 2010 entitled
Issue  of Equity as HUG1401382 contained errors  in respect of the date that the
Offers for Subscription opened and the nominal value of the ordinary shares. The
full corrected version of the announcement is as follows:

The Directors of Proven VCT plc announce an allotment on 7 April 2010 of 90,020
ordinary  shares of 5p each issued at a price of 56.1p per share pursuant to the
Offers for Subscription that opened on 16 November 2009.

Application for the Shares to be admitted to the Official List of the UK Listing
Authority  and  to  trading  on  the  London  Stock Exchange's market for listed
securities will be made at the earliest practical opportunity.
