quorate. The adjourned meeting will be held at 4.00 pm on Tuesday  23
December 2008 at the offices of Downing Management Services  Limited,
Kings Scholars House, 230 Vauxhall Bridge Road, London SW1V 1AU.

The C share  class meeting  of ProVen  VCT plc  held at  10.10 am  on
Tuesday 9 December 2008 was adjourned as the meeting was not quorate.
The adjourned meeting will be held at 4.05 pm on Tuesday 23  December
2008 at the  offices of  Downing Management  Services Limited,  Kings
Scholars House, 230 Vauxhall Bridge Road, London SW1V 1AU.
