In conformity with the Disclosure and Transparency Rule 5.6.1, ProVen VCT plc
announces the following:
The Company's capital at 31 May 2010 consisted of:
25,689,386 Ordinary shares of 5 pence each,
14,571,317 'C' shares of 25 pence each, and
8,098,619 'D' shares of 1 pence each.

The Company does not hold any shares in treasury.
Therefore, the total number of voting rights in ProVen VCT plc is 48,359,322.
The  above  figure  may  be  used  by  shareholders  as  the denominator for the
calculations  by which they will determine if  they are required to notify their
interest  in, or a change  to their interest in,  ProVen VCT plc under the FSA's
Disclosure and Transparency Rules.
