Transaction in Own Shares

ProVen VCT plc announces that on 5 July 2007 the Company purchased
77,048 ordinary shares of 5p each for cancellation, representing
0.33% of the issued ordinary share capital, at a price of 81.0p per
share.

Following this transaction, the Company now has 23,232,968 ordinary
shares in issue.  The Company does not hold any shares in treasury.

Following the above transaction the Company's capital consists
of 23,232,968 Ordinary shares of 5 pence each and 14,620,454 'C'
Ordinary shares of 25 pence each.
Therefore the total number of voting rights in ProVen VCT plc
is 37,853,422.

The above figure may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, ProVen
VCT plc under the FSA's Disclosure and Transparency Rules.
