The issuer has made the following amendment to the SAR - Management Consulting
Group plc. announcement released on 6/6/01 at 15:17  under RNS No 7970E.

Repeal of Disclosure under Rule 3 of the rules governing Substantial
Acquisitions in Shares

This disclosure is to repeal the disclosure made yesterday on a Form SAR 3 
(dated 6/6/01) in relation to a purchase of 9,575,521 ordinary shares 25p in
Management Consulting Group plc.

The correct nominal purchased on the 6/6/01 totalled 1,000,000 ordinary shares
25p.  This would have resulted in a correct holding position for the Prudential
plc of 11,342,000 representing a total interest of 9.59% of issued share capital
118,161,465 shares.  We can therefore confirm that there was no need for us to
issue the original Form SAR 3.
