The issuer has advised that the following disclosure explains the withdrawal of
the SAR-Vocalis Group Plc announcement released on 27 December 2001 at 11:10
under RNS Number 2291P.
Repeal of Disclosure under Rule 3 of the rules governing Substantial
Acquisitions in Shares and under section 198 of The Companies Act 1985 (as
amended).
This disclosure is to repeal the Form SAR 3 disclosure (dated 27/12/01) and
disclosure under 198 of the companies Act in relation to a purchase of 1,828,597
ordinary shares 5p in Vocalis Group plc.
The nominal purchased on the 21/12/01 was correctly disclosed on the SAR 3 and
198 disclosure. However, in the calculation of the Total Percentage of shares
held by Prudential plc the incorrect issued share capital was used. We can
therefore confirm that there was no need for us to issue the original Form SAR 3
and a corrected section 198 disclosure shall be produced today. The total
interest of Prudential plc in Vocalis Group Ordinary 5p shares is 6,978,597
shares (5.02%).
