Technical Announcement
Due to an administrative error made by Lloyds TSB Registrars, nil paid
entitlements under the Rights Issue were issued assuming the record date was
close of business 18 October 2004 rather than 15 October 2004, which is the date
specified in the Rights Issue prospectus and the provisional allotment letter.
This has had an impact on certain CREST participants who had open market
transactions at 15 October 2004. To rectify the situation and minimise the
effect of this error on settlement, the effective record date for the Rights
Issue will be amended from the close of business on 15 October 2004 to close of
business on 18 October 2004. This amendment will also have the effect of
aligning the share register and accompanying nil paid entitlements with market
trades, as any shares traded on 18 October were, in any event, traded with all
rights under the Rights Issue attached to them. This administrative error will
not have affected trading in, or right to, nil paid entitlements under the
Rights Issue. Settlement in ordinary shares was not affected.
The nil paid rights that were credited to CREST accounts on the morning of 20
October 2004 have been deleted overnight and replaced with replacement nil paid
rights by 7 a.m. today, 21 October 2004, with the market claims raised by CREST
amended to reflect a record date of 18 October 2004.
The ex date (commencement of nil paid trading) remains 20 October 2004, as
specified in the Rights Issue prospectus, and trading in the nil paid
entitlements will resume as usual at 8 a.m. today, 21 October 2004.
