The Panel on Takeovers and Mergers
Following the extraordinary general meeting on Friday 28 November 2003, all
resolutions were passed including the resolution to approve the waiver by the
Panel on Takeovers and Mergers of the requirement under Rule 9 of the City Code
for any member of the concert party to have to make a general offer for the
shares in the company.
Following the placing and admission the members of the concert party hold
15,800,000 shares representing 59.2% of the issued ordinary share capital of the
company. In addition, Brendan James Austin and Edmund Ian Savage, both members
of the concert party hold options over 200,000 and 425,000 ordinary shares
respectively, representing a further 2.2% of the issued ordinary share capital
of the company. Exercise of these options would give the concert party control
over 61.4% of the issued ordinary share capital of the company.
