Paterson Zochonis plc - Notification of Interests of Directors

Paterson Zochonis plc (the 'Company') announces that on 28th February 2001 it
was notified by its Executive Directors that Hill Samuel Offshore Trust
Company Limited as Trustee of the Paterson Zochonis Employee Trust (the
'ESOT'), had on the 22nd February 2001 purchased the following number of
Ordinary Shares of 10p each in the Company at the following price:

The ESOT is a discretionary trust under which the class of beneficiaries who
may benefit comprises all bona fide employees and former employees of the
Company and its subsidiaries including members of such employees' and former
employees' immediate families.  Accordingly the Executive Directors of the
Company namely, Paterson Zochonis plc are included in the class of
beneficiaries.  As a result the Executive Directors are deemed to have an
interest in all of such shares although none of them or members of their
immediate families has been granted entitlement to any of such shares
