Notification of Interests of Directors
PZ Cussons Plc (the 'Company') announces that, on 4th May 2004 it was notified
by its Executive Directors that Hill Samuel Offshore Trust Company Limited as
Trustee of the Paterson Zochonis Employee Trust (the 'ESOT'), had on the
following date purchased the following number of Ordinary Shares of 10p each and
'A' (non-voting) Ordinary Shares of 10p each in the Company at the following
price:

The ESOT is a discretionary trust under which the class of beneficiaries who may
benefit comprises all bona fida employees and former employees of the Company
and its subsidiaries including members of such employees' and former employees'
immediate families. Accordingly the Executive Directors of the Company namely,
PZ Cussons Plc are included in the class of beneficiaries. As a result the
Executive Directors are deemed to have an interest in all of such shares.
