     Announcement of listing of 2,573, 224 ordinary shares of 1 penny each


Listing of Shares

Application has been made to the UK Listing Authority and the London Stock
Exchange for an additional listing of 2,573, 224 ordinary shares of 1p each in
the Company. These shares have been allotted to trade on the London Stock
Exchange and are to be admitted to the Official List pursuant to the Company's
obligations under free share arrangements being made available to employees of
the QinetiQ group of companies by Hill Samuel Offshore Trust Company Limited (as
trustee of the QinetiQ Group plc Employee Benefit Trust) and Hill Samuel ESOP
Trustees Limited (as trustee of the QinetiQ Group plc Share Incentive Plan).
Participants in the free share arrangements have or will become entitled to
these shares following the vesting of share awards. These shares will rank
equally with the existing issued ordinary shares of the Company.
