EES Trustees International Limited as Trustee of the QinetiQ Group plc Employee Benefit Trust ("EBT") purchased a total of 480,922 ordinary shares (representing 0.0782% of the Company's issued ordinary share capital) on 30 June and 1 July 2011 at an average price of 126.99p per share.

The Executive Directors of QinetiQ Group plc, Leo Quinn and David Mellors, are included as potential beneficiaries of the EBT and are deemed to be interested in those shares and the dealings thereof.

Following this transaction, the EBT holds 4,707,555 ordinary shares in the Company, representing 0.713% of the Company's issued ordinary share capital.
