EES Trustees International Limited as Trustee of the QinetiQ Group plc Employee Benefit Trust ("EBT") purchased a total of 1,684,753 ordinary shares (representing 0.26% of the Company's issued ordinary share capital) between 25 August and 9 September 2011 at an average price of 116.59p per share.

The Executive Directors of QinetiQ Group plc, Leo Quinn and David Mellors, are included as potential beneficiaries of the EBT and are deemed to be interested in those shares and the dealings thereof.

Following these transactions, the EBT holds 7,358,712 ordinary shares in the Company, representing 1.11% of the Company's issued ordinary share capital.

The transactions took place in the United Kingdom.
