NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Vesting of Awards under the QinetiQ Group plc Stock Award Plan (the "Plan") and sale of Shares

On 7 August 2012 QinetiQ Group plc (the "Company") received notification of the following transactions relating to a person discharging managerial responsibilities of the Company:

On 6 August 2012, Duane Andrews acquired 65,000 ordinary shares of 1p each in the Company ('Shares') on the vesting of the third tranche of an allocation of Shares granted on 4 August 2009 under the Plan.

On 6 August 2012, Duane Andrews sold 21,004 Shares (0.003% of the issued share capital) at a price of 167.59p per Share.

On 7 August 2012, Duane Andrews acquired 36,733 Shares on the vesting of the fourth tranche of an allocation of Shares granted on 7 August 2008 under the Plan.

On 7 August 2012, Duane Andrews sold 11,870 Shares (0.002% of the issued share capital) at a price of 167p per Share.

As a result of the above transactions, the aggregate number of Shares held beneficially by Duane Andrews is 380,515 Shares, being 0.058% of the issued share capital of the Company.

This notification is made pursuant to rule 3.1.4R of the FSA Disclosure Rules and Transparency Rules.
